Notice and Access Distribution Model

Our Notice and Access offering is a component of our eProxyDirect solution, supporting compliance with the Internet Availability of Proxy Materials Rule issued by the SEC. The rule allows for companies to send to shareholders a single page notice of the availability of online voting and of electronic materials in lieu of mailing the full set of paper materials, saving print and postal costs.

Using our eProxy and eMaterials solutions, Notice and Access supports:

Consent, Preference Gathering, and Electronic Delivery
The solution enables shareholders to request materials and to indicate their delivery preference – electronic or print – for the annual meeting materials, which can apply to all future distributions.  Consents are captured online or over the phone using a toll-free phone number.

Document Hosting
DST Output offers a website for hosting HTML and PDF formats of your annual report, proxy statement, proxy ballot, and other related materials. 

Delivery
The solution facilitates the Notice and Access process for companies using the Notice Only distribution option, the Full Set of Materials distribution option, or a combination of the two.  We work with you to analyze your shareholder population, including voting history and holdings to identify key votes, helping you determine the best formula for notice and full set mailings for your specific shareholder population.
