Notice and Access Proxy Model

DST Output’s Notice and Access offering supports issuers’ and investment companies’ compliance with SEC regulations regarding the Internet Availability of Proxy Materials Rule. 

Document Hosting

DST Output offers a website for hosting readable and printable formats of the annual report, proxy statement and proxy ballot, as well as any additional materials. 

These hosted documents are commonly presented in html format for easy online navigation, viewing and searching.  The documents are also presented in pdf format for streamlined printing of an easy-to-read document.  Documents provided by the issuer or investment company in other formats will be converted into the requested hosted format.

Delivery

DST Output distributes the Notice of Internet Availability of Proxy Materials (Notice) in compliance with the SEC regulations.  DST Output facilitates the Notice and Access process for companies using either the Notice Only option or the Full Set of Materials option, or a combination of the two.

Fulfillment Requests

Fulfillment of shareholder requests for electronic delivery are managed through use of DST Output’s eProxy electronic proxy distribution tool.  Requests for printed material are managed by DST Output’s print facilities.

The document hosting website facilitates shareholder requests to receive the material via email or in printed form via postal mail.  The website enables the shareholder to indicate their choice to make such delivery preferences applicable for all future mailings. 

As SEC regulations stipulate, requests for emailed and printed material are fulfilled within three business days.  Mail commingling provides access to the most cost effective postage rates for items sent via US Postal Service®. 

Voting

In addition, the Notice and Access-ready eProxy website provides shareholders with access to online voting of their proxy ballots.
